Terms of Service

1) What the Service is

We provide an AI chat assistant that appears on a merchant's website (the "Service") to help you find products, answer questions and navigate. The Service is in beta and may change.

2) Who this agreement is between

These terms are between you and Poggen Konsult AB (org.nr 556944-7591), trading as Clueless ("we/us"). We are not the merchant and do not sell products, set prices, charge you, ship, or handle returns. Any purchase is between you and the merchant under the merchant's terms.

3) Acceptable use

• Use the Service only lawfully and reasonably.
• Do not probe, scan, or test security, overload, or disrupt the Service.
• Do not use the Service for fraud, harassment, infringement, or illegal or abusive content.
• Do not copy, resell, reverse engineer, or attempt to extract models or code; do not use outputs to create competing models or datasets.

4) Enforcement and injunctive relief

We may limit or suspend access immediately to protect users, merchants, or the Service. We may seek injunctive or other equitable relief to prevent misuse, security breaches, or intellectual property violations.

5) Beta, changes, and availability

We may add, remove, pause, or stop features or the entire Service at any time. Features may differ across merchants. The Service comes with no uptime guarantees.

6) Duration and termination

• Duration. These terms apply for as long as you use the Service.
• Suspension and termination by us. We may suspend or terminate your access at any time, with or without cause, effective immediately.
• Termination by you. You may stop using the Service at any time.
• Effect of termination. Upon termination, your right to use the Service immediately ceases. Sections 7 (license grant), 8 (intellectual property), 11 (disclaimers), 13 (limitation of liability), 14 (indemnity), and 17 (governing law) survive termination.

7) Your inputs and feedback

When you provide text, images, or feedback ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, sub-licensable license to use it to operate, secure, improve, and develop the Service (including evaluating and tuning our AI) to the extent permitted by law and our Privacy Policy. This license lasts for the duration of your use of the Service and a wind-down period of 12 months thereafter, after which we will delete or de-identify your User Content unless retention is required by law. Where we have already incorporated de-identified or aggregated insights from your User Content into our systems before the license ends, those insights may be retained.

When the Service is integrated on a merchant's website, user content generated in that context is processed on behalf of the merchant as data controller, in accordance with the applicable data processing agreement. The license granted in this section applies only to the extent necessary to provide the Service and for the independent controller purposes disclosed in our Privacy Policy.

Do not share confidential, sensitive, or third-party personal data you lack rights to share. We may log and review a sample of conversations during beta for safety and quality.

8) Prompts, outputs, and intellectual property

• Your prompts and outputs: You own your prompts and any lawful outputs (subject to third-party rights). You grant us a limited right to process prompts and outputs to provide and improve the Service.
• Our materials: Our software, models, pre-built prompts, templates, system messages, and other Service content are our intellectual property. You receive a limited, revocable right to use the Service for personal, lawful use under these terms.

9) Third-party links and services

The Service may show links or connect to merchant systems or other third-party tools. We do not control those sites or services and are not responsible for their content, policies, or availability. Your use of them is under their own terms.

10) Your representations

• You have the rights to the inputs you provide.
• Your use is lawful and does not violate others' rights.
• You will not upload malicious code or bypass security.

11) Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties (express, implied, or statutory) about availability, accuracy, non-infringement, or fitness for a particular purpose.

12) Content and accuracy (no professional advice)

AI-generated answers can be incomplete, outdated, or wrong. Outputs are not legal, medical, financial, or other professional advice. Always verify key details with the merchant before relying on information.

13) Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising out of or in connection with the Service. The Service is provided free of charge to you. Our total aggregate liability to you for all claims relating to the Service shall not exceed 500 SEK.

This clause does not limit or exclude liability where such limitation or exclusion is not permitted by applicable law, including liability for intent (uppsåt), gross negligence (grov vårdslöshet), death or personal injury caused by our negligence, or your mandatory consumer rights under Swedish or EU law.

14) Indemnity (narrow)

To the extent permitted by law, you agree to indemnify us for losses that directly result from your unlawful use of the Service or violation of others' rights through content you provide.

15) Minors

You must be at least 16 years old to use the Service.

16) Changes and notices

We may update these terms and the Service. We will post changes here and may show a notice in chat. Continued use means you accept the changes.

17) Governing law and disputes (EU consumer info)

Swedish law governs. Disputes are handled by the Stockholm District Court, unless mandatory consumer protection rules require otherwise. Swedish consumers may bring eligible matters to ARN. EU consumers may use the EU ODR platform.

18) Compliance (sanctions and export)

You will not use the Service if you are restricted by applicable sanctions, embargoes, or export control laws.

19) Boilerplate

Assignment: You may not assign these terms without our consent; we may assign them. Severability: If any part is invalid, the rest remains effective. No waiver: Not enforcing a right now does not waive it later. Entire agreement: These terms are the whole agreement about your use of the Service.
